MINUTES OF THE 121st ANNUAL MEETING
HELD ON TUESDAY, NOVEMBER 29, 2005

AT THE OFFICES OF ACE USA, SAN FRANCISCO, CA

121st Annual Meeting was called to order by President Nootbaar
at 10:07 AM.

In lieu of roll call a sign in roster was used.

Review of 2003-2004 Annual Meetings Minutes from 11/30/2004

The 2003-2004 minutes from Tuesday, November 30, 2004 were paraphrased by Secretary Brixie.  A motion was made, seconded and carried to approve 2003-2004 Annual Meeting Minutes.  (As attached)

Treasurer’s Report 

Treasurer Nelson delivered his 11/29/05 written report (as attached). 

The report advised that the AMU-SF is in healthy fiscal shape and that the annual banquet will pay for itself. 

A motion was moved, seconded and carried to accept the Treasurer’s report.

Committee Reports 

GOLF: 

Due to the BMUSF Seminar golf tournament held in May 2006 the golf committee is considering moving the AMUSF golf tournament from its traditional June date to sometime later in the year. 

The committee may also consider different venues, Stan Gibson was asked to follow up with Golf Chairwoman, Kathleen Creedon. 

The board thanked Ms. Creedon for her work on the successful 2005 tournament.

EDUCATION: 

Education Chair Stan Gibson informed the Association that the four-part Cargo course offered in spring 2005 taught by Julie Vogele and Malcom Clark was a success.  The course netted about $1,000 in funds for the Association. 

As a follow up to last year’s meeting there was no Hull course taught this year but we hope to offer Introduction to Hull and Advanced Cargo in spring 2006.

In fall 2006 the education committee is looking to offer either an advanced course or bullet seminar (in lieu of the four weeks of instruction).  Topics could include Advanced Liabilities, Claims Handling including Subrogation or Reinsurance--courses will be announced later. 

Mr. Gibson will advise if the Department of Insurance (DOI) requires a phone number for the association in order to be considered an organization able to offer accredited continuing education classes.  If the DOI does not require a phone number then the Association’s phone will be disconnected. 

In addition to the continuing education units, the Association will also award non-continuing education students that complete a course, a certificate of completion.

BANQUET: 

Maggie Williams, Banquet chairwoman, advised that as of this date, November 29, 2005, there are 275 reserved for the banquet. 

The new online registration ran smoothly with few problems. 

In 2006 we might want to consider moving the venue given the number of surprises the Palace has had this year. 

Al Dugan and Maggie Williams will meet with the Palace prior to the Banquet this year to confirm the 2006 banquet.  The Palace seems to have been more difficult to work with than in prior years and we will likely have to increase the price in 2006 if we remain there.  The 2006 BMUSF seminars will be held at the Palace and there might be some leverage in contracting for 2006.  Other venues are being researched for 2006.

Currently there are two separate contracts with the Palace one for the room block and the other for catering.  The room block contract was confirmed prior to the catering contact.  The room block contract has been signed for months.  However, the catering was only executed two weeks prior to the event.  The Palace has forced us into their catering terms and the event will be more costly than in the past.  In future we might want to get the catering contract executed earlier.

Special Guests: Syble Fischer (MUSC, president) and David O’Laughlin (MIAS, president) 

The board thanked Ms. Williams for her hard work on the 2005 banquet and the many challenges that she has risen to meet. 

Ms. Williams will continue the role of banquet chair in 2006.

Old Business 

AMUSF CHARITIBLE GIFTS:  Julie Vogele and Tom Nootbaar attending the California Maritime Academy (CMA) scholarship dinner where they met Nick and Zach Clark the 2004 scholarship recipients.

This year Executive Committee has approved the $5,000 scholarship funds, to be used on a one-time basis for the California Maritime Academy general scholarship fund.   The CMA has been given the latitude to use the funds as it deems fit.  Another $2,500 will be donated to the National Liberty Ship “Jeremiah O’Brien” and presented to docent John Redman (Fireman’s Fund).  Lastly, $2,500 will be donated to the hurricanes “Katrina” and “Rita” relief funds through the Sea Man’s Church of New York/New Jersey for mariner assistance in the Gulf of Mexico. 

The Committee Chair, Ms. Vogele, informed the Association that Dr. William Eisenhardt and his wife will be in attendance at the banquet, accepting the scholarship monies on behalf of the CMA. 

The committee thanked Ms. Vogele for the work on the scholarship and charitable contributions.

WEBSITE:  Secretary Brixie has updated the AMUSF website (www.amusf.com) as needed throughout the year including highlights below:

The banquet@amusf.com e-mail links to Maggie Williams, banquet chair, currently.  As this has worked so well, we will add links to golf@amusf.com and education@amusf.com and have incoming e-mails sent directly to the appropriate committee designated person.  

Maggie and the webmaster, Anne Garger, have worked well together to update the registration system for this year’s banquet.  This will likely be what we will use going forward. 

The president’s message is updated and available. 

The Glossary is now complete.  All appendices are now accessible. 

The links to sister associations Marine Underwriters of Southern California and Marine Insurance Association of Seattle are now available. 

New Business 

We have given retirees a discounted rate of $100 this year, but next year we should consider adding a definition for retired members to the by laws. 

Due to our strong financial standing we might want to consider reducing the rate on our education courses. 

At the 2006 February executive committee each committee should submit a budget for the 2005/06 year.

APPLICATION FOR MEMBERSHIP:  President Nootbaar informed the Association that the Executive Committee had approved all seven applicants for membership.  (Paul Keane, ACE; Mike Reever, Lockton; Stephen Gioulis, Navigators; Nanita Santos, Great American; Connie Reed, Great American; Emira Cameron, AIMA; Jonathan Thames, Gibson Robb & Lindh)

ELECTION OF DIRECTORS FOR 2008 CLASS:
Nominating Committee Chair, Richard Yerian (other members –Robert Langenhan and Kenneth Yoshii) submitted the slate for directors on the Executive Committee for the 2008 class.  They are as follows:

Ms. Cynthia Brixie – St. Paul Travelers
Mr. Ben Walbridge – IMU / One Beacon
 

A motion was moved, seconded and carried to approve the nominated Class of 2008.

 A MOTION WAS MADE, SECONDED AND CARRIED TO ADJOURN THE MEETING AT 11:14 AM.(THE NEW EXECUTIVE COMMITTEE’S DIRECTORS WERE ASKED TO REMAIN IN ORDER TO NOMINATE AND ELECT THE 2005-2006 OFFICERS AND ESTABLISH THE 2006 MEETING DATES/TIMES.)
